It is critical before buying a development site that a comprehensive due diligence process is undertaken.

Not only is it common for financiers to insist on this before approving funds, there are also a multitude of potential issues that can be avoided upfront that could otherwise delay a project’s delivery or render the project unfeasible.

The Urban Developer proudly presents an online course dedicated to the legal, planning, engineering and commercial essentials required to effectively conduct due diligence.



COURSE OUTLINE

1. Legal Essentials (15 mins)

  • an overview of the legal due diligence process
  • a summary of the key contractual terms reviewed by a legal team
  • a list of the key matters and searches to be investigated
  • an explanation of the risks and consequences associated with not carrying out thorough due diligence
  • real case studies and examples
  • a practical discussion of key issues and considerations.

2. Planning Essentials (15 mins)

  • Strategic context—regional plans, district plans, local strategic planning statement
  • Statutory context—state and regional policies, metropolitan and local area plans, and other policies and guidelines
  • Key controls—zoning and permitted uses, height, FSR/GFA, setbacks and car parking
  • Planning process—lodging DAs, rezoning, timeframes, consent authorities
  • Other disciplines—heritage, contamination, ecology and arboriculture/biodiversity, services/utilities capacity, traffic and transport.

3. Engineering Essentials (15 mins)

  • an overview of the key engineering considerations
  • a summary of service connections, such as sewer, water, telecoms, electrical
  • a summary of ground conditions, including geotechnical and environmental

  • a summary of traffic, acoustics and other engineering considerations.

4. Acquisition Essentials (15 mins)

  • an overview of successful negotiation strategies
  • a summary of different contract types: unconditional, deferred settlements, subject to approvals, ‘put and call’ option
  • a overview of the key contractual terms, including pricing, deposit, due diligence, settlement and special conditions
  • examples of recent transactions including on-market and off-market campaigns
  • tips and tricks for acquiring new development opportunities.
